ARTICLE 6: Additional provisions:
1. This corporation is organized exclusively for charitable, religious, educational, literary, or scientific purposes, including, for such purposes, the making of distributions to such organizations that qualify as exempt organizations under Section 501(c) (3) of the Internal Revenue Code or the
corresponding section of any future federal tax code.
2. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make
payments and distributions in furtherance of the purposes of this
corporation.
3. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf
of or in opposition to any candidate for public office.
4. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)

(3) of the Internal Revenue Code of 1986 or the corresponding section of any future federal tax code, or (b) by a corporation, contributions to which are deductible under §170(c) (2) of the Internal Revenue Code, or the corresponding section of any future federal tax code.
5. This corporation shall indemnify its officers and directors to the full extent allowed by law.
6. The personal liability of the directors and officers of this corporation to this corporation for conduct as an officer or director shall be eliminated or limited to the full extent allowed by law
.

PROPOSED AMENDMENTS TO ARTICLES OF ORGANIZATION
The club voted and approved amendments to the Articles of Incorporation several years ago to comply with the requirements of the Oregon Department of Justice regarding the club's status as a public charity. However in March of 2000 we obtained a copy of our Articles from the Secretary of State's office and learned that the amendments had not been entered into the public record.
Since the old approval is stale, the amendments must be re-ratified. We will do so at the September general meeting. The Officers & Board of Directors unanimously approved the following amendments at the August business meeting. Please read them carefully and be prepared to Vote. Yea! Or Nay! As noted these changes are required by the State to allow our Club to obtain status as a public charity. Please plan to attend the meeting and vote on this important matter.
The Board and Officers of  the Portland Amateur Radio Club hereby  recommends adoption of the changes as written.

PORTLAND MARATHON

Yes it's that time of year again. Put October 1 2000 on your calendar. I need your help on the Portland Marathon. This is a great opportunity to test out your radios, batteries and communication skills in a non emergency environment.
I need your T shirt size and some information about your equipment. If you  have never done this before talk to someone that has I think you will be convinced to give it a try.
